Et si l\u2019utopie n\u2019\u00e9tait pas le revenu universel, mais l\u2019entreprise sans humain ?<\/h2>\n\n\n\n

D\u2019un c\u00f4t\u00e9, certains proposent de taxer l\u2019intelligence artificielle.<\/p>\n\n\n\n

Taxer les robots.
Taxer l\u2019automatisation.
Taxer les gains de productivit\u00e9.
Taxer le capital qui remplace le travail.
Puis redistribuer.<\/p>\n\n\n\n

L\u2019id\u00e9e est \u00e9l\u00e9gante, presque rassurante : si les machines travaillent \u00e0 notre place, elles doivent contribuer \u00e0 financer notre existence.<\/p>\n\n\n\n

Dans cette vision, l\u2019IA devient une nouvelle vache fiscale. Elle produit, elle remplace, elle concentre la richesse, donc elle doit payer.<\/p>\n\n\n\n

C\u2019est l\u2019imaginaire de la compensation.<\/p>\n\n\n\n

Une partie de la Silicon Valley elle-m\u00eame, pourtant longtemps fascin\u00e9e par la d\u00e9r\u00e9gulation, semble d\u00e9sormais regarder vers des solutions de redistribution : revenu universel, fonds souverain de l\u2019IA, taxe sur le capital, partage de la richesse produite par les machines. Sam Altman a propos\u00e9 un \u201cAmerican Equity Fund\u201d financ\u00e9 par une taxe annuelle sur les grandes entreprises et les terrains priv\u00e9s. Bill Gates, de son c\u00f4t\u00e9, avait d\u00e9fendu l\u2019id\u00e9e d\u2019une taxe sur les robots pour ralentir le d\u00e9placement du travail humain et financer d\u2019autres emplois sociaux utiles. L\u2019autre utopie consiste \u00e0 dire : puisque l\u2019IA va cr\u00e9er de la richesse, organisons la redistribution avant que la fracture ne devienne explosive.<\/p>\n\n\n\n

C\u2019est coh\u00e9rent.
C\u2019est d\u00e9fendable.
C\u2019est humainement compr\u00e9hensible.<\/p>\n\n\n\n

Mais Javier Milei prend le chemin inverse.<\/p>\n\n\n\n

L\u2019Argentine ne veut pas ralentir la machine<\/h2>\n\n\n\n

Selon Le Figaro, le pr\u00e9sident argentin veut cr\u00e9er un nouveau statut de soci\u00e9t\u00e9 automatis\u00e9e, sans humain, g\u00e9r\u00e9e par l\u2019IA ou des robots. Dans une tribune publi\u00e9e par le Financial Times, Milei pr\u00e9sente l\u2019id\u00e9e comme une rupture juridique comparable \u00e0 l\u2019invention de la soci\u00e9t\u00e9 \u00e0 responsabilit\u00e9 limit\u00e9e : \u00e0 chaque grande r\u00e9volution productive, il faut une nouvelle architecture l\u00e9gale. (Le Figaro<\/a>, Financial Times<\/a>)<\/p>\n\n\n\n

Son raisonnement est simple.<\/p>\n\n\n\n

L\u2019IA ne doit pas seulement \u00eatre utilis\u00e9e par les entreprises.
Elle doit pouvoir devenir une nouvelle forme d\u2019entreprise.<\/p>\n\n\n\n

Une soci\u00e9t\u00e9 op\u00e9r\u00e9e par des agents IA.
Une soci\u00e9t\u00e9 capable de contracter.
Une soci\u00e9t\u00e9 capable de produire.
Une soci\u00e9t\u00e9 capable de g\u00e9rer des actifs.
Une soci\u00e9t\u00e9 capable d\u2019agir dans un environnement incertain.
Une soci\u00e9t\u00e9 dont les b\u00e9n\u00e9ficiaires humains seraient identifi\u00e9s, mais dont l\u2019op\u00e9ration quotidienne pourrait \u00eatre largement automatis\u00e9e.<\/p>\n\n\n\n

La proposition repose sur trois piliers : peu ou pas de r\u00e9glementation pr\u00e9alable sur l\u2019IA, cr\u00e9ation d\u2019une cat\u00e9gorie juridique pour des soci\u00e9t\u00e9s non humaines, et environnement fiscal attractif. WIRED \u00e9voque aussi la notion de \u201csociedad an\u00f3nima aut\u00f3noma\u201d, destin\u00e9e \u00e0 regrouper des entit\u00e9s op\u00e9r\u00e9es par des agents IA ou des robots. Voil\u00e0 le choc id\u00e9ologique.<\/p>\n\n\n\n

Quand certains veulent taxer l\u2019IA pour r\u00e9parer le futur, Milei veut lib\u00e9rer l\u2019IA pour attirer le futur.<\/p>\n\n\n\n

Deux visions du monde<\/h2>\n\n\n\n

La premi\u00e8re vision dit : l\u2019IA va d\u00e9truire une partie du travail humain, donc pr\u00e9parons un filet social.<\/p>\n\n\n\n

La seconde dit : l\u2019IA va cr\u00e9er une nouvelle forme d\u2019activit\u00e9 \u00e9conomique, donc pr\u00e9parons un terrain de jeu.<\/p>\n\n\n\n

La premi\u00e8re pense protection.
La seconde pense juridiction.<\/p>\n\n\n\n

La premi\u00e8re pense redistribution.
La seconde pense attraction.<\/p>\n\n\n\n

La premi\u00e8re regarde l\u2019IA comme un risque social.
La seconde la regarde comme une infrastructure productive.<\/p>\n\n\n\n

Et c\u2019est pr\u00e9cis\u00e9ment l\u00e0 que le d\u00e9bat devient passionnant.<\/p>\n\n\n\n

Parce que les deux visions contiennent une part d\u2019utopie.<\/p>\n\n\n\n

L\u2019utopie du revenu universel suppose que l\u2019on saura taxer efficacement une richesse de plus en plus mobile, logicielle, internationale et optimis\u00e9e fiscalement.<\/p>\n\n\n\n

L\u2019utopie de l\u2019entreprise automatis\u00e9e suppose que l\u2019on saura cr\u00e9er de la valeur sans faire exploser la responsabilit\u00e9, la confiance, la s\u00e9curit\u00e9, la concurrence et la coh\u00e9sion sociale.<\/p>\n\n\n\n

L\u2019une veut domestiquer la vague.
L\u2019autre veut surfer avant tout le monde.<\/p>\n\n\n\n

O\u00f9 se cache l\u2019utopie ?<\/h2>\n\n\n\n

Le revenu universel repose sur une promesse : d\u00e9coupler partiellement revenu et travail.<\/p>\n\n\n\n

C\u2019est une id\u00e9e puissante. Elle r\u00e9pond \u00e0 une angoisse tr\u00e8s r\u00e9elle : que se passe-t-il quand la machine devient plus rapide, moins ch\u00e8re, plus disponible et parfois plus performante que l\u2019humain ?<\/p>\n\n\n\n

La London School of Economics rappelle que le revenu universel revient souvent dans les d\u00e9bats sur l\u2019IA et l\u2019automatisation, notamment pour r\u00e9pondre \u00e0 l\u2019ins\u00e9curit\u00e9 de l\u2019emploi, aux in\u00e9galit\u00e9s salariales et aux d\u00e9placements possibles de travailleurs. Mais cette utopie a un angle mort : elle part souvent du principe que la valeur sera cr\u00e9\u00e9e ailleurs, puis redistribu\u00e9e ensuite.<\/p>\n\n\n\n

Autrement dit : la production d\u2019abord, la compensation apr\u00e8s.<\/p>\n\n\n\n

Milei inverse la proposition : cr\u00e9ons d\u2019abord les conditions juridiques et fiscales pour que cette valeur vienne chez nous.<\/p>\n\n\n\n

L\u2019Argentine ne se place pas seulement dans le d\u00e9bat moral. Elle se place dans le d\u00e9bat g\u00e9opolitique.<\/p>\n\n\n\n

Qui \u00e9crira les r\u00e8gles de l\u2019entreprise autonome ?
Qui attirera les capitaux ?
Qui deviendra le Delaware, Singapour ou Amsterdam de l\u2019IA agentique ?
Qui captera les premi\u00e8res g\u00e9n\u00e9rations de soci\u00e9t\u00e9s o\u00f9 le logiciel ne sera plus un outil, mais une structure op\u00e9rationnelle ?<\/p>\n\n\n\n

\u00c0 ce niveau, l\u2019innovation n\u2019est plus technologique. Elle devient institutionnelle.<\/p>\n\n\n\n

L\u2019entreprise sans humain est-elle une provocation ou une anticipation ?<\/h2>\n\n\n\n

Il est facile de caricaturer le projet argentin.<\/p>\n\n\n\n

On peut y voir une folie libertarienne.
On peut y voir une fuite en avant.
On peut y voir une zone grise id\u00e9ale pour les abus.
On peut y voir un r\u00eave de capitalisme automatis\u00e9 d\u00e9barrass\u00e9 de la friction humaine.<\/p>\n\n\n\n

Les critiques existent d\u00e9j\u00e0 en Argentine. Le Buenos Aires Herald rapporte des inqui\u00e9tudes de responsables politiques et d\u2019experts sur les implications d\u2019entreprises non humaines fonctionnant avec peu de r\u00e9gulation et une fiscalit\u00e9 basse. Ces inqui\u00e9tudes sont l\u00e9gitimes.<\/p>\n\n\n\n

Qui r\u00e9pond si une soci\u00e9t\u00e9 automatis\u00e9e cause un dommage ?
Qui porte la responsabilit\u00e9 si un agent IA signe un contrat absurde ?
Qui est poursuivi si une cha\u00eene de d\u00e9cision algorithmique provoque une perte massive ?
Qui contr\u00f4le l\u2019opacit\u00e9 d\u2019un syst\u00e8me qui apprend, s\u2019adapte et agit ?
Qui v\u00e9rifie que les b\u00e9n\u00e9ficiaires r\u00e9els ne se cachent pas derri\u00e8re des structures automatis\u00e9es ?<\/p>\n\n\n\n

Un statut juridique sans responsabilit\u00e9 claire serait une bombe \u00e0 retardement.<\/p>\n\n\n\n

Mais l\u2019absence de cadre peut aussi devenir une bombe \u00e0 retardement.<\/p>\n\n\n\n

Car ces soci\u00e9t\u00e9s automatis\u00e9es vont exister, avec ou sans statut adapt\u00e9.<\/p>\n\n\n\n

Les agents IA savent d\u00e9j\u00e0 rechercher, r\u00e9diger, coder, vendre, analyser, n\u00e9gocier, g\u00e9n\u00e9rer des contenus, piloter des workflows, d\u00e9clencher des paiements, interagir avec des API, produire des documents contractuels. Les dirigeants qui attendent une d\u00e9finition parfaite de l\u2019entreprise automatis\u00e9e risquent de d\u00e9couvrir trop tard que les usages auront d\u00e9j\u00e0 pr\u00e9c\u00e9d\u00e9 le droit.<\/p>\n\n\n\n

C\u2019est souvent ainsi que l\u2019innovation avance.<\/p>\n\n\n\n

D\u2019abord l\u2019usage.
Ensuite le scandale.
Puis la r\u00e9glementation.
Enfin la normalisation.<\/p>\n\n\n\n

Milei veut inverser la s\u00e9quence : cr\u00e9er le cadre avant que les entrepreneurs aillent ailleurs.<\/p>\n\n\n\n

L\u2019Europe r\u00e9glemente, l\u2019Argentine exp\u00e9rimente<\/h2>\n\n\n\n

Le contraste avec l\u2019Europe est saisissant.<\/p>\n\n\n\n

L\u2019Union europ\u00e9enne pr\u00e9sente l\u2019AI Act comme le premier cadre juridique complet sur l\u2019IA, avec une approche fond\u00e9e sur les risques. L\u2019objectif europ\u00e9en est de favoriser une IA digne de confiance, en encadrant notamment les usages jug\u00e9s inacceptables ou \u00e0 haut risque. C\u2019est une approche de puissance normative.<\/p>\n\n\n\n

L\u2019Europe dit : nous voulons que l\u2019IA soit acceptable.
L\u2019Argentine dit : nous voulons que l\u2019IA vienne s\u2019installer chez nous.<\/p>\n\n\n\n

Les deux strat\u00e9gies peuvent se d\u00e9fendre.
Les deux strat\u00e9gies peuvent \u00e9chouer.<\/p>\n\n\n\n

Une r\u00e9glementation trop lourde peut d\u00e9courager l\u2019exp\u00e9rimentation.
Une d\u00e9r\u00e9gulation trop agressive peut cr\u00e9er des risques syst\u00e9miques.<\/p>\n\n\n\n

La diff\u00e9rence est dans le pari.<\/p>\n\n\n\n

L\u2019Europe parie sur la confiance.
L\u2019Argentine parie sur l\u2019attraction.<\/p>\n\n\n\n

Et dans une p\u00e9riode de bascule technologique, les paris institutionnels comptent autant que les perc\u00e9es techniques.<\/p>\n\n\n\n

L\u2019IA comme innovation de proc\u00e9d\u00e9<\/h2>\n\n\n\n

Dans mon livre, chapitre 14, j\u2019explique que l\u2019IA permet de red\u00e9finir la mani\u00e8re dont on fait les choses, favorisant ainsi l\u2019innovation de proc\u00e9d\u00e9.<\/p>\n\n\n\n

Ce point est central.<\/p>\n\n\n\n

Beaucoup d\u2019entreprises regardent encore l\u2019IA comme un outil de productivit\u00e9 individuelle.<\/p>\n\n\n\n

Gagner du temps sur un e-mail.
R\u00e9sumer une r\u00e9union.
Cr\u00e9er une image.
Produire un brouillon.
Automatiser une t\u00e2che.<\/p>\n\n\n\n

Mais l\u2019enjeu va plus loin.<\/p>\n\n\n\n

L\u2019IA transforme les proc\u00e9d\u00e9s : produire, d\u00e9cider, vendre, recruter, analyser, contractualiser, former, gouverner.<\/p>\n\n\n\n

Le projet argentin pousse cette logique jusqu\u2019au bout : si l\u2019IA transforme les proc\u00e9d\u00e9s, alors elle peut transformer la forme m\u00eame de l\u2019entreprise.<\/p>\n\n\n\n

L\u2019entreprise classique a \u00e9t\u00e9 pens\u00e9e pour organiser le travail humain, le capital humain, les responsabilit\u00e9s humaines, les d\u00e9cisions humaines.<\/p>\n\n\n\n

Que se passe-t-il quand une partie croissante de ces fonctions devient logicielle ?<\/p>\n\n\n\n

On peut r\u00e9pondre par la peur.
On peut r\u00e9pondre par la taxe.
On peut r\u00e9pondre par l\u2019interdiction.
On peut r\u00e9pondre par le droit.<\/p>\n\n\n\n

L\u2019Argentine tente une r\u00e9ponse juridique et fiscale.<\/p>\n\n\n\n

Taxer le futur ou l\u2019organiser ?<\/h2>\n\n\n\n

Le d\u00e9bat ne se r\u00e9sume pas \u00e0 \u00eatre pour ou contre Milei.<\/p>\n\n\n\n

Il oblige \u00e0 regarder une tension que beaucoup de pays pr\u00e9f\u00e8rent contourner.<\/p>\n\n\n\n

Taxer l\u2019IA trop t\u00f4t peut ralentir des usages encore immatures.
Ne pas la taxer peut concentrer encore davantage la richesse.
R\u00e9glementer trop t\u00f4t peut figer des technologies que nous comprenons encore mal.
Ne pas r\u00e9glementer peut d\u00e9placer les risques sur les citoyens, les clients et les institutions.<\/p>\n\n\n\n

Il n\u2019y a pas de r\u00e9ponse confortable.<\/p>\n\n\n\n

Mais il y a une \u00e9vidence : l\u2019IA ne sera pas seulement un sujet de productivit\u00e9. Elle devient un sujet de souverainet\u00e9.<\/p>\n\n\n\n

Les pays ne se demanderont plus seulement : \u201ccomment prot\u00e9ger nos citoyens de l\u2019IA ?\u201d<\/p>\n\n\n\n

Ils devront aussi se demander : \u201ccomment attirer, encadrer et capter la valeur cr\u00e9\u00e9e par l\u2019IA ?\u201d<\/p>\n\n\n\n

Ce second volet est souvent absent du d\u00e9bat public europ\u00e9en.<\/p>\n\n\n\n

On parle beaucoup de risques.
On parle beaucoup d\u2019\u00e9thique.
On parle beaucoup de protection.
On parle moins de comp\u00e9titivit\u00e9 juridique.
On parle moins de fiscalit\u00e9 d\u2019attraction.
On parle moins de guerre des juridictions.<\/p>\n\n\n\n

Pourtant, les entreprises de demain iront l\u00e0 o\u00f9 le droit leur permet d\u2019exister.<\/p>\n\n\n\n

Le pays qui \u00e9crira le statut gagnera une bataille<\/h2>\n\n\n\n

La soci\u00e9t\u00e9 anonyme, la responsabilit\u00e9 limit\u00e9e, les holdings, les stock-options, les fonds d\u2019investissement, les licences logicielles, les plateformes num\u00e9riques : chaque grande vague \u00e9conomique a eu besoin d\u2019innovations juridiques.<\/p>\n\n\n\n

Le droit n\u2019est pas seulement une contrainte.
Le droit peut devenir une infrastructure d\u2019innovation.<\/p>\n\n\n\n

C\u2019est probablement le pari le plus int\u00e9ressant dans l\u2019initiative argentine.<\/p>\n\n\n\n

Milei ne dit pas seulement : \u201cvenez payer moins d\u2019imp\u00f4ts\u201d.<\/p>\n\n\n\n

Il dit : \u201cvenez exister juridiquement chez nous avant que les autres comprennent ce que vous \u00eates\u201d.<\/p>\n\n\n\n

C\u2019est redoutablement strat\u00e9gique.<\/p>\n\n\n\n

La question devient alors moins morale qu\u2019op\u00e9rationnelle : un \u00c9tat peut-il devenir attractif en cr\u00e9ant une cat\u00e9gorie juridique pour des entreprises que les autres pays ne savent pas encore nommer ?<\/p>\n\n\n\n

L\u2019histoire \u00e9conomique montre que les mots comptent.<\/p>\n\n\n\n

Quand une activit\u00e9 re\u00e7oit un nom juridique, elle devient finan\u00e7able, transf\u00e9rable, auditable, taxable, contestable, exploitable.<\/p>\n\n\n\n

Sans nom, elle reste une anomalie.
Avec un nom, elle devient un march\u00e9.<\/p>\n\n\n\n

Et maintenant ?<\/h2>\n\n\n\n

L\u2019Argentine prend un risque consid\u00e9rable.<\/p>\n\n\n\n

Elle peut devenir un laboratoire mondial de l\u2019entreprise autonome.
Elle peut aussi devenir un terrain d\u2019exp\u00e9rimentation incontr\u00f4l\u00e9e.<\/p>\n\n\n\n

Mais ceux qui ricanent devraient rester prudents.<\/p>\n\n\n\n

L\u2019histoire de l\u2019innovation adore les propositions qui paraissent excessives au d\u00e9part, puis \u00e9videntes dix ans plus tard.<\/p>\n\n\n\n

L\u2019entreprise sans humain para\u00eet aujourd\u2019hui absurde.
Le commerce mondial sans boutique physique paraissait absurde.
La monnaie sans banque centrale paraissait absurde.
La voiture sans conducteur paraissait absurde.
Le logiciel qui \u00e9crit, code, traduit et raisonne avec nous paraissait absurde.<\/p>\n\n\n\n

L\u2019absurde d\u2019aujourd\u2019hui est parfois le standard de demain.<\/p>\n\n\n\n

Alors, o\u00f9 est l\u2019utopie ?<\/p>\n\n\n\n

Dans l\u2019id\u00e9e qu\u2019on pourra taxer suffisamment l\u2019IA pour financer une soci\u00e9t\u00e9 post-travail ?<\/p>\n\n\n\n

Ou dans l\u2019id\u00e9e qu\u2019un pays peut se r\u00e9inventer en devenant la juridiction mondiale des entreprises autonomes ?<\/p>\n\n\n\n

Je n\u2019ai pas une r\u00e9ponse d\u00e9finitive.<\/p>\n\n\n\n

Mais j\u2019ai une conviction : les pays qui se contentent de commenter la vague finiront par acheter les technologies, les standards et les mod\u00e8les juridiques con\u00e7us par ceux qui auront os\u00e9 exp\u00e9rimenter.<\/p>\n\n\n\n

Entre taxer le futur et organiser le futur, il y a peut-\u00eatre tout un continent de retard.<\/p>\n\n\n\n\t\t
